Affiliate Program

Introduction

These Affiliate Program Terms and Conditions ("Terms") are a legal agreement between you ("Affiliate," "you," or "your") and SHAYO OÜ ("Company," "we," "us," or "our"). By participating in the PUSHIN Affiliate Program, you agree to be bound by these Terms. If you do not agree, you are not authorized to participate.

1. Eligibility and Participation

1.1 Open Participation

The PUSHIN Affiliate Program is open to both free users and paid subscribers of the PUSHIN application. However, participation benefits and terms (such as holding periods) vary based on your subscription status.

1.2 Subscription Benefits

While free users may participate, users with an active, paid subscription to the Pro, Advanced, or Ultimate Plans receive expedited commission processing (see Section 4.1).

1.3 Compliance

Affiliates must be at least 18 years of age and comply with all applicable laws in their jurisdiction, including those related to disclosures and marketing. Participation is void where prohibited by law.

2. Commissions and Compensation

2.1 Commission Rates (Monthly Subscriptions)

For referrals made by you that result in a new, active Monthly subscription, you will earn:

• Initial Period: 30% of Net Revenue for the first three (3) months of the referral's subscription.

• Recurring Period: 10% of Net Revenue for every month thereafter, provided the referred user maintains an active paid subscription and you maintain your eligibility under Section 1.1.

2.2 Commission Rates (Yearly Subscriptions)

For referrals made by you that result in a new, active Yearly subscription, you will earn:

• One-Time Commission: A one-time payment equal to 30% of the value of the first three (3) months of that subscription (calculated as [Yearly Price ÷ 12] × 3 × 30%).

• No Recurring Commission: Yearly plans do not yield recurring commissions beyond the one-time payment.

2.3 Net Revenue Definition

Commissions are calculated based on "Net Revenue," which is the gross amount actually received by the Company from the referred user, minus:

• Value Added Tax (VAT), Sales Tax, or other government-mandated taxes;

• App store fees (e.g., Apple or Google commissions);

• Transaction processing fees (e.g., Stripe fees);

• Refunds, chargebacks, and adjustments.

3. Attribution and Tracking

3.1 Last-Click Model

The Company uses a "last-click" attribution model. This means the last referral link clicked by the user before signing up and subscribing will receive credit for the commission.

3.2 Tracking Limitations

We use specific tracking technologies (cookies or unique identifiers) to track referrals. While we strive for accuracy, the Company is not responsible for tracking failures due to:

• Users clearing cookies or using private browsing;

• Users switching devices before completing a purchase;

• Technical constraints of third-party platforms or ad-blockers;

• Connectivity issues or system outages.

3.3 Validity Period

Referral tracking typically remains valid for 30 days from the initial click, unless otherwise specified. A referral is only "successful" if the user completes the registration and paid subscription within this period.

4. Payout Terms

4.1 Holding Periods

All commissions are subject to a holding period from the date of the successful transaction to ensure against refunds or chargebacks. The duration of this period depends on your subscription status at the time of the transaction:

• Premium Users (Active Paid Subscribers): 14-day holding period.

• Free Users: 30-day holding period.

Commissions will be marked as "pending" during the applicable holding period.

4.2 Minimum Payout

Affiliates must reach a minimum balance of **€50.00** (or equivalent) in earned and cleared commissions before a payout can be requested or issued.

4.3 Payment Methods

Payouts are issued via [PayPal/TransferWise/Direct Bank Transfer]. Affiliates are responsible for providing accurate payment information. Any fees associated with the payout (e.g., currency conversion or bank fees) will be deducted from the payout amount.

4.4 Taxes

You are an independent contractor and not an employee of SHAYO OÜ. You are solely responsible for reporting and paying all applicable taxes on your earnings in your jurisdiction.

5. Anti-Abuse and Fraud Prevention

The Company maintains a zero-tolerance policy toward program abuse. The following activities are strictly prohibited:

• Self-Referrals: Using your own affiliate link to subscribe yourself or creating multiple accounts for this purpose.

• Misleading Marketing: Making false or exaggerated claims about PUSHIN's features or results.

• Spam: Sending unsolicited emails, forum posts, or messages containing referral links.

• Incentivized Traffic: Offering cash or gifts to users to sign up through your link without explicit Company approval.

• Domain Squatting: Using "PUSHIN" or "SHAYO" in domains or social media handles to impersonate the brand.

CONSEQUENCES: Any violation of this Section will result in immediate termination of your affiliate status and the permanent forfeiture of all unpaid commissions.

6. Rights and Termination

6.1 Right to Withhold

The Company reserves the right to withhold, cancel, or adjust any commission that we believe, in our sole discretion, was generated via fraudulent, abusive, or unauthorized means.

6.2 Termination by Company

We may terminate this Agreement and your participation in the Affiliate Program at any time, with or without cause, by providing written notice (via email or app notification).

6.3 Termination by Affiliate

You may terminate your participation at any time by ceasing usage of your referral links and notifying us at info@shayoapps.com.

7. Limitation of Liability and Indemnification

7.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAYO OÜ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH THE AFFILIATE PROGRAM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

7.2 Indemnification

You agree to indemnify and hold harmless SHAYO OÜ from any claims, damages, or expenses (including legal fees) arising from your marketing activities, violations of these Terms, or your breach of third-party rights.

8. General Provisions

8.1 Modification Clause

We reserve the right to change these Terms, including commission rates and payout structures, at any time. Significant changes will be communicated via email or through the app. Continued participation in the program after changes take effect constitutes your acceptance of the new Terms.

8.2 Independent Contractor

Nothing in these Terms creates a partnership, employment, or agency relationship. You have no authority to bind the Company to any contract or obligation.

8.3 Governing Law

These terms are governed by the laws of **Estonia**. Any disputes shall be resolved in the courts of Tallinn, Estonia.
